By accessing or using ERPALO (“Service”), our website, or any related services offered by UpShotCode (“we”, “us”, “our”), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

2. Description of Service

ERPALO is a cloud-based Enterprise Resource Planning (ERP) software that provides inventory management, HRM, POS, reporting, and related business tools. The Service is offered on a subscription or trial basis as described at the time of sign-up or on our website.

3. Use of the Service

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Provide accurate and complete information when creating an account or submitting forms.
  • Keep your login credentials confidential and notify us of any unauthorized access.
  • Not misuse, reverse-engineer, or attempt to gain unauthorized access to the Service or its infrastructure.
  • Not use the Service to distribute malware, spam, or illegal content.

The Service is provided “as is” and “as available”. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We disclaim all warranties, express or implied, to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law, UpShotCode and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunity, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim (if any).

9. Indemnification

You agree to indemnify and hold harmless UpShotCode and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your data, or your breach of these Terms.

10. Changes to Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use of the Service after changes constitutes acceptance. If you do not agree, you must stop using the Service.

11. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which UpShotCode operates, without regard to conflict of law principles. Any dispute shall be resolved in the courts of that jurisdiction, unless otherwise required by mandatory law.
